CHOICE HOTELS INTERNATIONAL has named its eight nominees for the board of directors for Wyndham Hotels & Resorts to be voted on in Wyndham's 2024 shareholder meeting. The nominees, including Jay Shah, executive chairman at Hersha Hospitality Trust, are expected to support Choice's bid to acquire Wyndham despite multiple rejections by the latter. HOSPITALITY INVESTMENT EXECUTIVE Leslie Hale has won the third annual Castell Award instituted by the American Hotel & Lodging Association Foundation, a statement said. The award honors a female trailblazer in the hospitality investment arena who paves the way for more women to rise to the top. The award will be presented at the Lodging Conference on Sept. 20. SONESTA INTERNATIONAL HOTELS will franchise 114 hotels it currently manages, following their sale by Service Properties Trust or SVC. The Massachusetts-based REIT plans to sell 14,925 keys across 28 states for $850 million in 2025 to repay debt. The trust plans to sell 31 Sonesta Select, 44 Sonesta ES Suites and 39 Sonesta Simply Suites, which will convert from Sonesta-managed to franchised properties upon sale. Following the deal, Sonesta will manage 39 full-service, 14 extended-stay and six select-service hotels owned by SVC, which will retain a 34 percent stake in Sonesta, SVC said in a statement. "Given the slow recovery of our hotel portfolio, along with our capital improvement program and deteriorating leverage metrics, we believe it is prudent to reduce the distribution to increase SVC's liquidity and enhance financial flexibility," said Todd Hargreaves, SVC's president and chief investment officer. "The reduction from the previous level will preserve about $127 million in liquidity annually. We also plan to sell 114 hotels to generate additional liquidity and focus the Sonesta portfolio on full-service and select focused-service hotels. These sales are expected to reduce capital expenditures and leverage, improve portfolio performance, and position the portfolio for the long term."

PEACHTREE GROUP, THE newly formed affiliate of Peachtree Hotel Group created last week to handle its real estate investments, is launching its first initiative, the 1031 Exchange Delaware Statutory Trust program. The company also selected Tim Witt as president over the new program. A DST is a single-purpose entity qualified for Section 1031 real estate exchanges, according to Peachtree. It allows investors to exchange replacement properties without incurring taxable gain on the sale of previously owned assets. Peachtree's 1031 Exchange DST program will invest in institutional-grade hotels in the U.S. through Peachtree Hospitality Management, another division of Peachtree, is expected to operate any properties acquired as part of the exchange. "As we expand our array of high-quality, diversified investment strategies, we wanted to create 1031 Exchange DSTs to provide tax deferral strategies in the hospitality sector," said Greg Friedman, Peachtree's CEO and managing principal. "We anticipate significant growth and appreciation in the hospitality sector, driving values above pre-pandemic levels. Also, real estate offers an excellent alternative investment channel for those seeking an inflation hedge. HERSHA HOSPITALITY TRUST and KSL Capital Partners, LLC, have finalized KSL's acquisition of the REIT for approximately $1.4 billion. As of Nov. 28, Hersha became a private company and was delisted from the New York Stock Exchange. The companies entered a definitive merger agreement on Aug. 27 under which affiliates of KSL acquired all of the outstanding common shares of Hersha for $10 per share in an all-cash transaction. The companies filed paperwork with the Securities and Exchange Commission on Nov. 28 to make it official. The independent transaction committee of Hersha's board of trustees recommended the merger and the board unanimously approved it, according to Hersha. A special meeting of shareholders was held Nov. 8 to give final approval to the deal.

Jay Shah, former executive chairman of Hersha Hotels & Resorts, recently joined the board of Braemar Hotels & Resorts as an independent director. He has been a senior advisor to Hersha since November 2023 and a trustee since 2006. Shah became executive chairman in January 2023 after serving 17 years as CEO, following roles as president and COO. Dallas-based Braemar is a real estate investment trust specializing in luxury hotels and resorts. "We are excited to welcome Jay to the Braemar Board of Directors," said Monty Bennett, Braemar's chairman. "He brings extensive experience in both the lodging industry and public company matters from his years in executive leadership at Hersha.
