A TOTAL OF 347 mergers and acquisitions, private equity and venture financing deals were reported in the global travel and tourism sector during the first half of 2024, according to GlobalData, a data and analytics company. That is a 12.6 percent year-over-year decline from the 397 deals in the same period of the previous year. North America saw a 31.7 percent year-over-year decrease in deal volume, while the U.S. experienced a 31.5 percent decline in the first half of 2024 compared to the same period the previous year, GlobalData said in a statement. "Even though there was a decline globally due to a dent in deal-making sentiments, the trend was a mixed bag across different markets and regions, with some countries contributing to the decline while some experienced improved activity," said Aurojyoti Bose, GlobalData's lead analyst. "And the same was the case for the deal types under coverage."

REAL ESTATE INVESTMENT competition She Has a Deal (SHaD) started a 10-city tour of U.S. cities to raise equity capital under the name "SHaD Prosperity Fund I." The funds will support women-led hotel projects, a statement said. The tour kicks off in Miami on Feb. 11 and will be open to small groups of qualified individual investors, family offices, small entities and trusts. Cities on the tour include Cleveland, Phoenix, Dallas, New York, Atlanta, Chicago, as well as Oakland, California; Louisville, Kentucky; and Washington, D.C. It will finish in the first week of April. According to SHaD, each event will include a preview of the women-led hotel deals being pitched by participants in the 2022 She Has a Deal pitch competition. OFFICIALS OF THE "She Has a Deal" annual hotel investment pitch contest announced the five teams selected to advance to the final round of SHaDPitch 2023. The competition allows early career women to compete for the prize of $50,000 of equity in SHaD's Prosperity Fund I, following the conclusion of a virtual, preliminary round of pitching, SHaD said in a statement. SHaD 2023 will be held at the new Marriott Headquarters in Bethesda, Maryland, on April 27 to 28. According to the statement, the goal of SHaD is to increase the number of women owning and developing hotels. It provides participants with the ability to source, analyse, raise capital and close hotel real estate investment deals. During the preliminary judging round, eight teams comprising 15 participants pitched their hotel investment acquisition or development projects live on Zoom to a judging panel of hotel business executives, entrepreneurs, and investors. The judges evaluated and selected the following five teams: Sydney Young and Rachel Nicholson with SpartanStone, graduates of Michigan State University, pitching a La Quinta Inn & Suites in Lewisville, Texas. Chandler Williamson with Chanders Core Commitment, graduate of North Carolina Central University, pitching a Hilton Garden Inn in Raleigh/Durham, North Carolina. Isabella Suffredini, Veronica Lewis and Alexandra Neoman with CROWN, graduates of Cornell University, pitching a TownePlace Suites in Houston, Texas. A JOINT VENTURE between NewcrestImage and Hospitality Capital Partners recently acquired 16 hotels for $137.3 million from Service Properties Trust, a Massachusetts-based REIT. The deal includes a total of 2,155 rooms in nine states. The portfolio consists of 13 Courtyard and three Residence Inn hotels by Marriott hotels, which are in Georgia, Massachusetts, New York, North Carolina, Oklahoma, Pennsylvania, South Carolina, Texas and Virginia. Eleven of the properties underwent major renovations between 2018 and 2019, the company said in a statement. "This transaction suits our company's style of strategically acquiring properties with strong fundamentals, especially during times of a difficult or slowed down economy," said Mehul Patel, managing partner and CEO, NewcrestImage. "It's an opportunity for our joint venture with NewcrestImage to add revenue immediately, while also growing long-term profit potential and asset value," said HCP principals Keith Mishkin and Primo Parmar. The transaction was handled by Al Calhoun and Mark Fair at CBRE in Atlanta. "Closing this transaction was particularly satisfying given the size of the deal and the challenges we're facing in the debt markets," added Al Calhoun, vice chairman with CBRE Hotels in Atlanta. "We were able to complete this transaction by breaking it up into three deals with three different lenders. These lenders had great confidence in the sponsorship and the quality of the brands and markets."

TWO PROMINENT AAHOA members recently came out in support of Choice Hotels International's continuing efforts to merge with Wyndham Hotels & Resorts, including one who is among Choice's nominations for Wyndham's board of directors. However, AAHOA said it remains concerned about the impact of the deal and released results of a survey of its members that found most opposed the merger. Since Choice first made its offer for Wyndham public in October after Wyndham's initial rejection the two companies have traded barbs trying to convince Wyndham shareholders to support or reject the deal. When Choice earlier this week named its eight nominees for Wyndham's board, among them was Jay Shah, executive chairman at Hersha Hospitality Trust. While Hersha has not replied to two efforts to solicit a comment from Shah about his opinion on Choice's offer, the candidates are expected to support it if elected in Wyndham's 2024 shareholder meeting. Also, in an article in Reuters about the takeover attempt, Mike Leven, who co-founded AAHOA, spoke in favor of the deal.

Tracy Prigmore is the new member of the board of directors for the Castell Project, a not-for-profit that promotes women in the hospitality industry. She is the founder of real estate and development firm TLTsolutions. In 2019, Prigmore began "She Has A Deal," a competition designed to increase hotel ownership and development by women by providing education, networking and investing opportunities. The competition's pitch challenge creates a network of women hotel owners and developers. Vinay Patel, AAHOA vice chairman and president of Fairbrook Hotels in Chantilly, Virginia, is on the advisory board for "She Has a Deal." Prigmore expanded TLTsolutions in 2014 to invest in residential, multifamily and hospitality projects that allowed individuals, families and entities to obtain passive income through investing. The firm has assets in four states. Previously, Prigmore held executive positions in the healthcare industry.

James said the competition prepared her company for the acquisition. The 70-room hotel is near downtown Memphis, Beale Street and AutoZone Park, home of the Triple-A Memphis Redbirds and the Memphis International Airport, according to SHaD. Amenities in the property include a business center and indoor heated pool and hot tub. James' firm Duke Ventures plans to invest $500,000 to refresh the property with new paint, FF&E and additional cosmetic improvements. "The SHaDPitch competition and its curriculum provide an invaluable inside look at the hotel industry," James said. "It provided a roadmap and extensive network that gave me foundational knowledge of the hotel acquisition and ownership space. SHaD prepared my company, Duke Ventures LLC, to make the smartest investment possible. HYATT HOTEL CORP. plans to acquire Dream Hotel Group's lifestyle hotel brands, including the Dream Hotels, The Chatwal Hotels and Unscripted Hotels brands, for approximately $300 million. The deal will add more than 1,700 rooms to Hyatt's lifestyle portfolio and increase Hyatt's room count in New York City by more than 30 percent. The acquisition includes a portfolio of 12 managed or franchised lifestyle hotels, with another 24 signed long-term management agreements for hotels expected to open in the future, Hyatt said in a statement on Nov. 29. The transaction, expected to close in the coming months, continues Hyatt's asset-light growth strategy following acquisitions of Two Roads Hospitality in 2018 and Apple Leisure Group in 2021. Post-acquisition, Hyatt will pay a base purchase price of $125 million, with up to an additional $175 million over the next six years. It would generate management fees of about $12 million a year on the first dozen hotels.

COMMERCIAL REAL ESTATE direct lender Stonehill recently originated a $79.8 million, three-year, floating-rate bridge loan for New York-based Churchwick Partners for the acquisition of a 12-property, extended-stay hotel portfolio. The deal was premised on the strong performance by extended-stay hotels even during the pandemic. Stonehill is an affiliate of Peachtree Hotel Group, led by Jatin Desai and Mitul Patel as managing principals. The deal includes 1,432 rooms in nine states, mostly Sonesta Hotels brands. "Our sponsors benefit from experienced real estate lenders able to originate and close complex transactions," said Nick Baer, Stonehill's vice president for business development. "With funding options from traditional lenders limited for hotels and other commercial real estate properties, we are pleased to provide Churchwick Partners with the lending solution, financial capacity and hospitality expertise to close this transaction in a challenging capital market environment."

NEWCRESTIMAGE RECENTLY FINALIZED its purchase of the LaQuinta Inn & Suites Los Angeles International Airport in Los Angeles, the final part of the company's acquisition of four LaQuinta-branded hotels in a joint venture between Highgate and Cerberus. The company closed on the other three hotels in the deal in August. The 281-room, 10-floor hotel, which will be managed by Highgate Hotels, along with the other hotels in the deal, will add 696 rooms to NewcrestImage's portfolio. The other hotels are the LaQuinta Inn & Suites Irving DFW North in Irving, Texas; LaQuinta Inn & Suites Anaheim in Anaheim, California; and LaQuinta Inn Phoenix North in Phoenix. "These four hotels symbolize our company's strategy of investing in properties and in markets that are well-positioned for long-term growth and prosperity," said Mehul Patel, managing partner and CEO of NewcrestImage.

CHOICE HOTELS INTERNATIONAL is accusing the board of directors for Wyndham Hotels & Resorts of not being forthcoming with the company's shareholders regarding Choice's exchange offer to acquire Wyndham. In its counter to the Wyndham board's rejection of the offer, Choice took issue with Wyndham's concerns about getting regulatory approval for the deal and said Wyndham shareholders support the "industrial merits of a transaction." In its original proposal, made public in October, Choice said it sought to acquire all the outstanding shares of Wyndham at a price of $90 per share and shareholders would have received $49.50 in cash and 0.324 shares of Choice common stock for each Wyndham share they own. Choice claimed that is a 30 percent premium to Wyndham's 30-day volume-weighted average closing price ending on Oct. 16, an 11 percent premium to Wyndham's 52-week high, and a 30 percent premium to Wyndham's latest closing price. Wyndham's board unanimously rejected Choice's proposal, calling it unsolicited, "highly conditional" and not in the best interest of shareholders. On Nov. 14, however, Choice sent a letter to the Wyndham board with an "enhanced proposal" intended to address Wyndham's concerns about clearing federal regulations. On Dec. 12, Choice launched its public exchange offer to acquire Wyndham and on Dec. 19 the Wyndham board officially rejected the offer and urged shareholders not to tender shares for the deal.

BANYAN INVESTMENT GROUP recently sold its Kimpton Goodland Hotel Fort Lauderdale Beach, Florida, to DiamondRock Hospitality Co. for $35.3 million. The sale is expected to bring a substantial return for investors in the Atlanta-based company, led by Andy Chopra as managing partner. The 96-room hotel is near Las Olas and Sebastian Street beach parks, Bonnet House Museum and Gardens, Sea Turtle OP Headquarters and multiple shops and eateries. Hotel amenities include an outdoor, heated pool, fitness center, loaner beach cruisers and beach items including boogie boards to folding chairs. F&B options include food and tiki-themed cocktails at Botanic at the Goodland or poolside drinks and snacks at the Good Bar. Originally the company was planning to hold the deal for a longer period, Chopra said. However, conditions changed to allow a deal that could generate a 49.4 percent internal rate of return for Banyan's investors.
