Text of the provision of Section 161(2) of Companies Act, 2013: The Board of Directors of a company may, if so authorized by its articles or by a resolution passed by the company in general meeting, appoint a person, not being a person holding any alternate directorship for any other director in the company, to act as an alternate director for a director during his absence for a period of not less than 3 months from India. Global Metals Exploration (ASX:GXN) has announced the results of the S249D meeting which was held earlier this week. There were 355M votes in favor of the appointment of Robert Brian Thomas and Robert John Benussi as director of Global Metals, but as 528M shares voted against their appointment, both nominees were not elected to the board of directors. Subsequently resolution 3 and 4 which called for the removal of Lia Darby and Ashley Hood were withdrawn.
