HERSHA HOSPITALITY TRUST and KSL Capital Partners, LLC, have finalized KSL's acquisition of the REIT for approximately $1.4 billion. As of Nov. 28, Hersha became a private company and was delisted from the New York Stock Exchange. The companies entered a definitive merger agreement on Aug. 27 under which affiliates of KSL acquired all of the outstanding common shares of Hersha for $10 per share in an all-cash transaction. The independent transaction committee of Hersha's board of trustees recommended the merger and the board unanimously approved it, according to Hersha. A special meeting of shareholders was held Nov. 8 to give final approval to the deal.

A CHANGING OF the guard is taking place at Marriott International as chairmanship of the company transitions from J.W. "Bill" Marriott Jr. to his son David Marriott. The senior Marriott has led the company for more than 60 years. Marriott announced the change in February. J.W. spent his high school and college years working in a variety of positions in the family's Hot Shoppes restaurant chain. He became a full-time associate in 1956, and soon afterward began overseeing the first Marriott hotel. He became president of the company in 1964 and CEO in 1972, a role he held for 40 years before stepping down in 2012. He was elected chairman of the board in 1985. CHOICE HOTELS INTERNATIONAL issued a last-minute appeal to Wyndham Hotels & Resorts shareholders to tender shares toward a proposed acquisition with a March 8 deadline to do so. At the same time, a U.S. senator has written to the Federal Trade Commission expressing concerns about the proposed merger. The fate of the proposal may hinge on getting more Wyndham share holders to show interest by tendering shares, Choice said in a statement. The company pointed out that tendering shares would not obligate shareholders to accept Choice's current offer. "Tendering shares will send a clear message to Wyndham's board of directors to constructively engage with Choice to reach a consensual agreement on the terms of a transaction," Choice said. "Depending on participation, Choice intends to either extend or terminate the exchange offer and will evaluate next steps related to its nomination of a slate of independent directors for election to the board of directors of Wyndham."

TWO PROMINENT AAHOA members recently came out in support of Choice Hotels International's continuing efforts to merge with Wyndham Hotels & Resorts, including one who is among Choice's nominations for Wyndham's board of directors. However, AAHOA said it remains concerned about the impact of the deal and released results of a survey of its members that found most opposed the merger. Since Choice first made its offer for Wyndham public in October after Wyndham's initial rejection the two companies have traded barbs trying to convince Wyndham shareholders to support or reject the deal. When Choice earlier this week named its eight nominees for Wyndham's board, among them was Jay Shah, executive chairman at Hersha Hospitality Trust. While Hersha has not replied to two efforts to solicit a comment from Shah about his opinion on Choice's offer, the candidates are expected to support it if elected in Wyndham's 2024 shareholder meeting. Also, in an article in Reuters about the takeover attempt, Mike Leven, who co-founded AAHOA, spoke in favor of the deal.

Nakul Anand, former executive director of ITC Hotels, has been named chairman of the advisory board for Tricone Luxury Hotels, a subsidiary of U.S.-based Tricone Engineers. Anand brings four decades of hospitality experience. He will oversee the company's continued growth in India, Tricone said in a statement. "We are thrilled to welcome Nakul Anand to our team," Alok Aggarwal, Tricon Luxury Hotels' CEO, said in an article on ANI. "His unparalleled expertise in the hospitality industry will be instrumental in shaping our company's vision and integrating sophisticated hospitality services and sustainability initiatives into our hotels and real estate projects." Tricone Luxury Hotels recently executed memorandums of understanding with Indian hotel brands and acquired land for a real estate project in Alibaug near Mumbai, which will be marketed soon. The company is set to launch luxury hotels and hospitality-oriented real estate projects in Alibaug.

AAHOA MEMBERS IN the U.S. will now have access to more workforce training opportunities and products from India under the new "Made in India" agreement made with that country. The agreement came about as a result of meetings between a delegation of AAHOA board members and Indian officials. Bharat Patel AAHOA chairman, Treasurer Kamalesh "KP" Patel and others met with the Chief Minister of Gujarat Shri Bhupendrabhai Patel to discuss the partnership, AAHOA said in a statement. It includes: Partnering with India-based educational institutions to implement training programs and skill-development initiatives that will equip young individuals to pursue successful and global careers in hospitality. Actively promoting, prioritizing and providing support for the sourcing of "Made in India" products, including textiles, furniture, and plumbing fixtures, for U.S.-based hospitality businesses.
