Sun Pharma has announced that it will acquire all outstanding shares of Concert Pharmaceuticals through a tender offer for an upfront payment of $8.00 per share of common stock in cash, or $576 million in equity value. The upfront payment of $8.00 per share of common stock in cash represents a premium of approximately 33% to Concert's 30-day volume weighted average price as of January 18, 2023, the last trading day prior to today's announcement. Concert is a late-stage biotechnology company pioneering the use of deuterium in medicinal chemistry. Concert has an extensive patent portfolio, including its lead product candidate deuruxolitinib - an oral inhibitor of Janus kinases JAK1 and JAK2 for the treatment of Alopecia Areata, an autoimmune dermatological disease - which is in late-stage development. It has completed the evaluation of the efficacy and safety of deuruxolitinib in adult patients with moderate to severe Alopecia Areata in its THRIVE-AA Phase 3 clinical program and two open label, long-term extension studies are ongoing in North America and Europe. Sun Pharma's immediate focus would be to follow Concert's plan to submit a New Drug Application (NDA) to the U.S. Food and Drug Administration (FDA) in the first half of 2023.

Covid-19 vaccine maker Novavax on Wednesday said it expects revenue this year to be flat or lower as it works to improve its commercial performance and pick up market share from much larger rivals, Pfizer and Moderna. The company posted a larger-than-expected fourth-quarter loss as revenue lagged analysts' estimates. Chief executive John Jacobs said Novavax claimed just a low-single-digit percentage market share in the US during the most recent vaccination campaign, as demand for Covid vaccines was smaller than hoped and the company got its protein-based shot to market later than its messenger RNA-based rivals. "We were disappointed with that US performance," Jacobs said in an interview. He said the company's sales force was not targeted enough toward retail pharmacy chains, and that its 5-dose vials were not as convenient for use as rivals' pre-filled syringes.

Shares in GSK, Sanofi and Haleon fell sharply on Thursday (August 11) amid growing investor concerns about US litigation focused on a heartburn drug that contained a probable carcinogen, while Johnson and Johnson has decided to end sales of talcum powder after cancer claims. GSK shares were down 6.8 per cent, Sanofi's were down 6.9 per cent and Haleon's down per cent. GSK and Sanofi at various points sold the drug - originally branded as Zantac - which US regulators ordered off the market in 2020. Haleon, spun out as an independent listed company last month, comprises consumer health assets once partly owned by GSK. The prospect of impending litigation is not new. Among other disclosures, recently-listed Haleon had highlighted the risk of such lawsuits in its prospectus. Amgen Inc on Monday agreed to buy Horizon Therapeutics Plc in a deal valued at $27.8 billion (£22.67bn), fortifying its rare diseases portfolio in the biggest buyout in the sector this year. The Pharmaceutical Services Negotiating Committee (PSNC) has invited pharmacy contractors, LPCs and others in the sector to share their views on an open consultation on the "future of community pharmacy". "The consultation - which takes the form of an online survey - is the first opportunity within PSNC's vision project for individuals and organisations to share their thoughts with Nuffield Trust and The King's Fund," said PSNC. The Pharmaceutical Services Negotiating Committee (PSNC) chief executive Janet Morrison has assured contractors that PSNC will continue to raise with the new prime minister all concerning issues that are bothering pharmacy businesses. She felt the "fixed five-year funding settlement that is declining in real terms" was one of the serious factors that is putting a lots of pressure on contractors. PSNC has provided a compelling portfolio of evidence on the impact that pressures are having on the sector, and requested urgent additional funding, she said. Health and Social Care Secretary Sajid Javid and Madelaine McTernan, head of the HRT supply taskforce, continue to take urgent action to resolve the shortage of HRT medicines by meeting the drug manufacturers and representatives from community pharmacies on Thursday (May 5). In the meeting, manufacturers outlined the steps they're taking to boost supply, and pharmacists shared their experiences on the frontline, as well as sharing their thoughts on wider solutions including improved communications. Aspen Pharmacare, Besins-Healthcare, Gedeon Richter, Novartis, Novo Nordisk, Orion, Pfizer, Theramex, Viatris, and representatives from community pharmacies were part of the meeting. As the government confirmed its intention to work with industry to do what is necessary to fix the HRT supply issue, Javis said he wanted to understand the issues facing suppliers and what can be done to address them. "We will leave no stone unturned in our national mission to boost supply of HRT. Along with appointing Madelaine McTernan as head of the HRT supply taskforce to implement lessons learned from the pandemic, and ensuring prescriptions are issued in shorter cycles for now, we are working collectively with the sector to urgently resolve this issue," he commented. Hertility said the acquisition will expand its own dataset and help them reach their goal of drastically cutting down the time to diagnosis of female health conditions. The UK start-up, launched in September 2020, offers a machine-learning healthcare solution, giving women insight on their reproductive health, through an at-home hormone test, individual results and a route to care. Founded by scientists and powered by an (all female) research team, Hertility is building a science-backed eco-system of care around every woman. Hertility is planning on launching in Ireland this summer and the Netherlands before the end of the year and is already offering end to end gynae and fertility care with a team of over 30 experts. "This acquisition is a coming together of women who are on a mission to drive real change in women's health. We are over the moon to have taken Grip under our wing, and will be taking Hertility into new markets, starting with the Netherlands," Dr Helen O'Neill, founder of Hertility, commented.
