An international specialty pharmaceutical group, Essential Pharma has announced the completion of two transactions with fellow UK-based Rosemont Pharmaceuticals. The company completed the divestment of its oral liquid portfolio to Rosemont, and acquired a series of attractive, niche products with "geographic expansion potential." Commenting on the announcement, Essential Pharma chief executive Steen Vangsgaard said: "The Rosemont products bring additional niche products into our portfolio with international expansion potential. "The divestiture of our UK oral liquid products streamlines our portfolio, allowing us to focus and accelerate our strategic growth ambition of building a leading international specialty pharma platform." Under the divestment deal, Rosemont Pharmaceuticals will acquire the product portfolio of licences, registrations and trademarks, as well as related commercial rights, to a number of oral generic products which are used to treat a range of conditions in various therapeutic areas.

Thornton & Ross is all set to expand its consumer healthcare offering by acquiring the well-established Opticrom eye-drops brand from Sanofi in the UK. Opticrom forms part of a wider transaction between Thornton & Ross' parent group, STADA, and Sanofi for eight local consumer healthcare brands across several countries, including Belgium, Germany, Hungary, Spain and the UK. The transaction will be financed with a combination of cash on balance sheet and existing facilities, and is scheduled to close in the fourth quarter of 2023, subject to customary approvals of relevant regulatory authorities. Omnicell Limited, a wholly owned subsidiary of Omnicell - an American healthcare technology company, has signed an agreement with the shareholders of Hub and Spoke Innovations Limited to acquire Hub and Spoke Innovations. Hub and Spoke Innovations Limited is distributor of the Pharmaself24 prescription collection kiosk in Great Britain. The move will complement Omnicell's total solution technology portfolio for retail pharmacy in the UK, including a pack-pick dispensing robot, automated MDS filling machine and eMAR solution, thereby helping pharmacies to improve workflows and offer a 24/7 access to medications and patient care. It will also help community pharmacies achieve their goals, as they increasingly look at ways to make their businesses more efficient and free up staff to offer more pharmaceutical care and services to patients. In short, the deal would enable Omnicell to offer a wider range of digital technologies to streamline retail pharmacy operations, allowing pharmacists to spend more time with patients and focus on value-added, revenue-generating healthcare services, such as vaccinations.

Well Pharmacy has acquired three new pharmacies taking the total number of pharmacies owned by the chain across the UK to 746. The UK's largest independent and third largest pharmacy chain has bought Pharmacy Express in Wakefield, West Yorkshire, and two Frosts Pharmacy's in Banbury, North Oxfordshire, and Marston, near Oxford. Sun Pharma has announced that it will acquire all outstanding shares of Concert Pharmaceuticals through a tender offer for an upfront payment of $8.00 per share of common stock in cash, or $576 million in equity value. The upfront payment of $8.00 per share of common stock in cash represents a premium of approximately 33% to Concert's 30-day volume weighted average price as of January 18, 2023, the last trading day prior to today's announcement. Concert is a late-stage biotechnology company pioneering the use of deuterium in medicinal chemistry. Concert has an extensive patent portfolio, including its lead product candidate deuruxolitinib - an oral inhibitor of Janus kinases JAK1 and JAK2 for the treatment of Alopecia Areata, an autoimmune dermatological disease - which is in late-stage development. It has completed the evaluation of the efficacy and safety of deuruxolitinib in adult patients with moderate to severe Alopecia Areata in its THRIVE-AA Phase 3 clinical program and two open label, long-term extension studies are ongoing in North America and Europe. Sun Pharma's immediate focus would be to follow Concert's plan to submit a New Drug Application (NDA) to the U.S. Food and Drug Administration (FDA) in the first half of 2023.

The association believes that there is a need for discussion and decision-making that listens to and balances the rights and responsibilities of both employers and workers, to generate benefits for individuals, organisations, and society. It added: "Even though Scotland provides the most generous community pharmacy settlement in the UK, recent reports suggest it is not enough for pharmacy owners with CPS's rejection of the latest funding proposal in May. Though the Scottish government found an extra £20M to ease pressures related to medicines price increases, an overall agreement has still not been reached." "The UK-wide chains may be doing less well in the parts of their networks covered by the Westminster government's contract, but the taxpayers and government of Scotland need to be given reassurance that they are in no way subsidising funding shortfalls in England's pharmacy contract." Pfizer said on Thursday (June 1) data from late-stage trials showed its experimental combination of antibiotics was effective in treating deadly infections caused by drug-resistant bacteria. Deaths from antibiotic-resistant bacteria, also known as superbugs, have been on the rise globally, and health regulators have called for the development of newer treatments as resistance to older antibiotics grows. The late-stage studies compared the experimental combination of the antibiotics aztreonam-avibactam (ATM-AVI) and existing generic drug metronidazole with a combination of two older antibiotics - meropenem and colistin - to treat complicated intra-abdominal infections and types of hospital-acquired pneumonia. Hospital-acquired pneumonia occurs in patients at least two to three days after being admitted, or in those who have life-threatening lung infections with high mortality rates and who are on mechanical breathing machines. Pfizer said the data from the studies shows the antibiotic combination of ATM-AVI is effective and well-tolerated in treating infections caused by gram-negative bacteria. The cure rate in patients with complicated intra-abdominal infections with Pfizer's combination therapy, along with existing generic drug metronidazole, was 76.4%, versus 74% using the other antibiotics.

Besins Healthcare has acquired a pharmaceutical manufacturing site in Drogenbos, Belgium to boost the production of hormonal products including Oestrogel. Currently, the site which is being used as one of two manufacturing sites for their gel products [the other site being in France], is a strategic purchase to allow Besins Healthcare to increase production of its own products, offering greater efficiencies and greater integration into the company's supply line. "In the past year, demand for hormone replacement therapy (HRT) treatment in the United Kingdom and Ireland has dramatically increased, resulting in regrettable disruption to supply of Oestrogel. We are looking at a range of options for increasing supplies of this product in the short, medium and longer term," said Alexandre Besins, joint CEO for Besins Healthcare. "Besins strongly believes that by re-integrating our manufacturing capabilities we will have better control over our ability to meet demand and live up to the trust that HCPs and patients have put in us."

Specialist business property adviser, Christie & Co has confirmed that City Pharmacy in Portsmouth, Hampshire has been purchased by the existing regional operator, JCL (U.K.) LTD - Lalys Pharmacy. Nyewood Healthcare, which owned the community pharmacy for over 25 years, decided to sell the business to concentrate on their two remaining pharmacies in West Sussex, the broker said. Located on a busy parade in the North End area of Portsmouth, City Pharmacy dispenses an average of 6,900 items per month, it added. Following a freehold sale, the business has been acquired by Lalys Pharmacy, which already has multiple other pharmacies in Hampshire, Dorset, and Surrey. Raj Laly, Director at Lalys Pharmacy, commented: "We are delighted to continue the expansion of our group in Portsmouth as we currently operate right across Hampshire, Surrey, and Dorset.

Christie & Co has revealed that Islay Pharmacy, the only pharmacy on the Isle of Islay in Scotland, has been sold for the second time in six years. The business, which single-handedly serves the island's population of circa 3,200 residents, has been purchased by a husband-and-wife team - Lisa and Simon Simpson - from South Shields. Previous owner small group operator, Sanjay Majhu, acquired Islay Pharmacy in April 2018 and grew its turnover from £530,000 to just under £700,000. He listed it for sale along with Inveraray Pharmacy and Tarbert Pharmacy as part of his initiative to downsize his estate, according to the broker. "We decided to sell as our strategy was to acquire only within a 100-mile radius of Glasgow and Islay would be more suited for owner-operators.

Vectura Fertin Pharma, an affiliate of Philip Morris International (PMI), has announced the sale of its subsidiary Vectura Group to global electronics major Molex Asia Holdings for £298 million. Vectura, based in Chippenham, UK, will be operated by Phillips Medisize, a Molex company and a leader in the design, engineering and manufacturing of pharmaceutical drug delivery, in vitro diagnostic and medtech devices. PMI, which acquired Vectura in 2021 amid strident opposition from health groups, has also announced the establishment of master service agreements to develop Vectura Fertin Pharma's inhaled therapeutics proprietary pipeline. The tobacco giant created Vectura Fertin Pharma as an autonomous unit, bringing together Vectura and Danish company Fertin Pharma, which it acquired in 2020, as part of its plan to go 'smoke-free' and switch to healthcare and wellness products. PMI, which fought off private equity firm Carlyle Group for the roughly 1-billion-pound buyout of Vectura, would receive an upfront cash consideration of £150 million, subject to customary purchase price adjustments, and potential deferred payments of up to £148 million.

Three pharmacists have collectively acquired Leyton Green, a community pharmacy on the outskirts of London Borough, as its owner, Raj Baxi, opts to retire after 15 years of service. The pharmacy, which processes an average of 2,697 items per month, was recently sold for an undisclosed sum, said Christie & Co, who facilitated the confidential transaction. The trio, led by Abdus Subhan, intends to drive the business forward by expanding the range of items and introducing advanced services. "After nearly 15 years in Walthamstow, we will miss our loyal customers, but we are pleased for the pharmacy to go to experienced operators," Baxi said.

Online pharmacy Pharmacy2U, acquires LloydsDirect in a merger for a single digital-first pharmacy. The companies issued a statement on 9 October and confirmed that they would operate as Pharmacy2U. It would also have a total of 1.4 million EPS nominations, as confirmed by NHS recent data. They are planning to enhance patient accessibility to online pharmacy and healthcare services through their combined services. Kevin Heath, Chief Executive Officer of Pharmacy2U, said: "We are delighted to welcome the LloydsDirect team into the Pharmacy2U family. Combining the best of both of our businesses, we can provide patients with greater access and convenience.

Women's health company Hertility has acquired the Netherlands-based fertility and hormone testing company Grip, increasing their market share in the women's health space and positioning them for rapid international expansion. Hertility said the acquisition will expand its own dataset and help them reach their goal of drastically cutting down the time to diagnosis of female health conditions. The UK start-up, launched in September 2020, offers a machine-learning healthcare solution, giving women insight on their reproductive health, through an at-home hormone test, individual results and a route to care. Founded by scientists and powered by an (all female) research team, Hertility is building a science-backed eco-system of care around every woman. Hertility is planning on launching in Ireland this summer and the Netherlands before the end of the year and is already offering end to end gynae and fertility care with a team of over 30 experts. "This acquisition is a coming together of women who are on a mission to drive real change in women's health. We are over the moon to have taken Grip under our wing, and will be taking Hertility into new markets, starting with the Netherlands," Dr Helen O'Neill, founder of Hertility, commented.

A community pharmacy in Consett, County Durham, North East England, has been sold to a locum pharmacist after the previous owner decided to put it on the market following 29 years of ownership. Specialist business property adviser, Christie & Co, recently announced the sale of Moorside Pharmacy, a 30-hour community pharmacy that dispenses an average of 3,200 NHS items per month. Located 1.5 miles west of Consett, the pharmacy shares a building with a small GP surgery in Moorside. Rachel Hurst, who has owned it since 1995, brought it to the market to downsize her operations and focus on her busier pharmacies - one in Consett and two in Crook, County Durham, according to the broker. Following a confidential sales process, locum pharmacist Monju Miah has acquired the pharmacy. He plans to manage it hands-on and introduce additional services that will benefit the local population, the broker stated.
